General Sales and Delivery Terms

The following General Sales and Delivery Terms apply, unless otherwise agreed in writing by OutdoorDesign / NordicOutdoorDesign (in the following referred to as OD) and the buyer.

Prices and offers

OD´s prices are listed in the company brochure and on the website, or provided upon request on email or telephone.

Unless otherwise agreed, any offer will expire, if acceptance is not received by OD three weeks after the offer date at the latest. All offers remain non-binding until OD has forwarded a written order confirmation.

Printing errors, price changes as well as changes to the product range and design are reserved.

Delivery

OD provides delivery in the whole of Denmark, Greenland and the Faroe Islands as well as Germany, Norway and Sweden. OD also provides delivery in other countries upon agreement.

The estimated delivery times are specified for each product on the website as well as below:

  • Stock items: 1-4 working days
  • Stock items (installed upon order): 5-14 working days
  • Production items (not in stock): 7-14 working days
  • Non-stock items: 1-8 weeks

The specified delivery times are indicative and will be observed to the extent possible. In case of a delayed delivery, OD strives to notify the buyer by means of email. In such cases, the buyer has no right to cancel the order.

All orders are accepted subject to force majeure such as strikes, lockouts, war, disturbances, fire, import or export bans, transport problems as well as delays in deliveries from subcontractors.

In case of delays on the buyer's part, OD is entitled to invoice the order.

Unloading

Unless otherwise agreed, delivery is made to the curb at the buyer’s address. The customer is responsible for ensuring that the unloading location is accessible by truck on a passable road.

Delivery takes place between 7 a.m. and 4 p.m.
Upon delivery - and before signing the receipt - the buyer must check that the correct quantity has been delivered and that all goods are undamaged.
In case of damaged goods or if the quantity does not match the order, the buyer must notify the carrier in writing. If the buyer does not raise objections immediately upon delivery, no subsequent claims for missing items or transport damage are accepted.

In general, no shipments will be made without proof of receipt. Deliveries made without a receipt at the buyer's request are at the buyer's own risk in terms of defects and damages.

The specified shipping costs are ex VAT. The prices apply for delivery in the whole of Denmark.

Additional charges may apply for deliveries outside Denmark as well as Bornholm, non-bridged islands as well as Greenland and the Faroe Islands. Information about additional charges will be provided in advance during order handling.

Packaging such as pallets and pallet frames will be charged separately for each shipment. Unless otherwise agreed, OD does not accept returns of pallets and pallet frames.

Payment

OD uses NETS, which is one of the most recognized solutions.

  • Mobilepay
  • Bank transfer
  • EAN

The purchase amount is deducted once the order is shipped and completed in the financial system.

For EAN invoicing, please state the EAN number when placing the order. Once the goods are shipped, an electronic invoice in PDF format is forwarded.

The payment deadline for regular purchases is 14 days net.
If the payment deadline is exceeded after delivery, the total order amount will be subject to a charge amounting to two percent per month as well as an administration fee of kr. 100 per reminder. The buyer is not entitled to withhold payment due to any counterclaims that have not been acknowledged in writing by OD.

If the buyer does not comply with the agreed provisions regarding payment of the purchase amount, OD is not obliged to make further deliveries.

If OD has forwarded three reminder letters to the buyer without success, the case will be transferred to a debt collection agency without notice. The buyer is obliged to pay the full collection costs.

Property rights and collateral

The goods or parts thereof belong to OD until all amounts under this agreement have been fully paid by the buyer.

OD is at all times in relation to the agreement entitled to require reassuring collateral for OD’s total costs related to the agreement.

For some orders or larger amounts, OD may require that the customer pays 30% of the purchase price in advance.
The order of the goods will be placed once payment is registered in OD's bank account. Unless otherwise agreed in writing, the remaining 70% are due 14 days after delivery at the latest.

Advance payment is for security reasons increasingly used.

Cancellation and changes to orders

Once OD has forwarded an order confirmation to the buyer, the buyer is no longer entitled to change or cancel the order. If the buyer still wants to cancel the order, the buyer is obliged to cover lost profits.

Right of withdrawal and return

B2B sales are not subject to any right of withdrawal or return policy.

Private, B2C always have a 14-day return policy when purchasing items from stock. Returned items must be in their original condition and original undamaged packaging. OD is otherwise entitled to reject the return.

Once the item has been returned and approved, the purchase price will be refunded to the provided account within 14 days. The customer is responsible for paying all return shipping costs.

There is no cancellation or return policy for items that have been assembled, ordered or custom-made for the customer.

In case an order cannot be fulfilled, or only can be fulfilled at disproportionate costs, OD reserves the right to cancel the order.

External installation (assembly) of products

Unless otherwise agreed, the work excludes connection to sewage, terrain restoration, electrical connection, cable rerouting, removal of excess soil and excavated materials, excavation permits/information, trimming of trees and bushes etc.

There should also be access for a car and minimal walking distance (max. 10 meters) to the installation site. The area should be cleared of vegetation and ready for assembly. The surface of the assembly area should be horizontal, even and solid, and paved with tiles or asphalt, with a single assembly that is not divided into multiple stages. Hidden obstacles such as cables, etc. that impede assembly are subject to consideration. Restoration should be carried out immediately for safety reasons.

Faults, defects and complaints

The warranty covers defects present in the item upon receipt as well as defects resulting from manufacturing errors. A complaint must be made in writing to OD no later than eight days upon receipt of the item. A complaint must be made in writing and should include an exact description of the defects or deficiencies as well as photographic documentation. The obligation of OD is waived for consequences of abnormal wear and tear, overloading, inadequate maintenance, incorrect installation, surface damage or errors after repair by parties other than OD as well as other extraordinary climatic conditions. OD is further not liable for the costs for installation and removal.

OD’s liability for defects and deficiencies is always limited to OD's choice of repair, replacement or notifying the customer of a proportionate reduction determined by OD. The customer cannot claim other rights due to defects.

If an item returned for warranty repair is found to have no defects, the buyer will be charged an inspection fee of kr. 400 ex VAT and shipping costs.

A 12-month warranty applies, and no new warranty is obtained through complaints or exchanges.

Product information

Product information, pictures, illustrations and details are only indicative. OD's information is binding only when a separate written guarantee is provided as part of the agreement. OD is also entitled to make changes to specifications if necessary, or if the change does not significantly affect the quality or performance.

Reservations

Hot-dip galvanized surfaces that are painted may have a slightly uneven surface, which is not due to poor quality or defects. It is merely an expression of the fact that the zinc layer in the galvanization has come into contact with the steel, resulting in an uneven surface.

Wood is a living/natural material that reacts to wind and weather, which can cause cracks, fissures and warping. Since cracks, warping or fissures do not affect the strength and these changes are not eligible for complaints.

Please note that the paint on grills, bonfires and fire pits due to use over time, may burn off/peel off, and rust may develop on the surface over time. This is considered normal wear and tear.

In connection with the transportation of goods, wear marks may occur on the item's paint. These wear marks have no impact on the product's functionality and are considered normal wear and tear.

Product liability

OD is responsible in accordance with the applicable law in product safety.

OD is responsible for damage to persons resulting from defects in the delivered products in accordance with the applicable mandatory legal regulations. In addition, OD is not liable for product liability and cannot be held responsible for loss of operation, damage to stored goods, loss of profit, or any other indirect loss due to product liability.

Limitation of liability

OD is not responsible for the buyer's use of the sold product.

Claims for damages cannot exceed the invoice amount for the sold item, and OD assumes no liability beyond what is stated in these General Sales and Delivery Terms. In no event can OD be held liable for indirect losses or consequential damages, including indirect losses arising from delays or defects in the sold product.

OD assumes no liability for the buyer's legal relationships with third parties.

In addition to reservations for errors in both prices and product descriptions, as well as changes in taxes and duties, reservations are made for intermediate sales and temporarily discontinued items.

Disputes

OD's General Sales and Delivery Terms take precedence over the buyer's purchase and delivery conditions.

All disputes shall be settled by arbitration. The arbitration takes place in Odense, Denmark, and the language of proceedings is Danish.
